1. Agreement and eligibility
These Terms apply when an organization or individual creates, administers or uses a FileMentra account. A person accepting for an organization confirms that they have authority to bind it. The service is intended for business users who can enter a binding contract, not children or consumer file storage.
2. Accounts and workspace control
Customers are responsible for accurate account information, protecting credentials, assigning appropriate roles and promptly removing access that is no longer required. Workspace owners control members, content, retention settings, public links and guest access. FileMentra may require additional verification for sensitive operations.
3. Customer content
Customers retain ownership of files, messages and other content they submit. They grant FileMentra only the limited rights needed to host, scan, encrypt, transmit, back up and otherwise operate the service on their instructions. Customers must have the rights and permissions needed to upload and share that content.
4. Service operation
FileMentra provides private workspaces, uploads, transfers, file requests, shared spaces, Rooms, audit evidence and retention controls. Malware and integrity checks may delay or reject content. Availability, storage limits, support levels and paid features will be defined in the applicable order form or plan at launch.
5. Acceptable use
Use must comply with the Acceptable Use Policy. FileMentra may restrict content or access where reasonably necessary to address security threats, unlawful activity, abuse, non-payment or material breach. Where safe and lawful, the customer will receive notice and an opportunity to cure.
6. Privacy, security and confidentiality
Account data is handled under the Privacy Notice. Customer content is processed under customer instructions and, for business customers, the Data Processing Addendum. Each party must protect the other party’s confidential information using reasonable care and may use it only to perform the agreement or comply with law.
7. Suspension, termination and data return
Customers may stop using the service and request export or deletion through available controls. Deletion follows the configured recovery window, retention obligations, backup lifecycle and any valid legal hold. FileMentra may suspend access for an urgent security risk or material breach and will limit the suspension to what is reasonably necessary.
8. Warranties and liability
The final production terms must state the service commitments, warranty exclusions, liability cap, excluded damages, indemnities and remedies agreed for the selected plans. Those commercial risk terms, along with governing law and dispute venue, remain reserved for counsel and are intentionally not fabricated in this pre-launch draft.
9. Changes and contact
Material changes will be announced before they take effect. The final notice will identify the contracting FileMentra legal entity, registered address and legal contact.
